These Terms of Service (“Terms”) govern the provision of sourcing and trade facilitation services by Zion Sourcing Ltd, a company registered in England & Wales (Company No. 16873790).

By engaging our services, you agree to these Terms.

1. Nature of Services

Zion Sourcing Ltd operates exclusively as a sourcing agent and trade facilitator. We connect international buyers with verified suppliers of agricultural commodities and mining materials.

We do not manufacture, own, or directly sell goods. We facilitate commercial transactions between independent buyer and supplier entities.

2. Scope of Services

Our services may include:

  • Supplier identification and verification

  • Price negotiation

  • Quality control coordination

  • Trade documentation support

  • Logistics and freight coordination

  • Transaction management and communication

We act as a representative and intermediary in sourcing transactions.

3. Pricing and Fees

All pricing is quoted on a per‑transaction basis and may include:

  • Supplier costs

  • Logistics expenses

  • Inspection and documentation fees

  • Zion Sourcing Ltd service fees

Quotations are valid for 30 days unless otherwise stated. Final pricing is confirmed in writing prior to order placement.

4. Supplier Verification

We conduct due diligence on suppliers within our network. However, buyers are encouraged to conduct independent verification.

Zion Sourcing Ltd shall not be held liable for supplier misrepresentation, breach of contract, or non‑performance beyond our reasonable control.

5. Order Process

Orders are placed with suppliers on your behalf following:

  • Written confirmation

  • Agreement to pricing

  • Receipt of required deposits

Minimum order quantities and production lead times vary by product and supplier and will be confirmed prior to transaction execution.

6. Payment Terms

Payment terms are agreed on a per‑transaction basis. Standard structures may include:

  • Deposit prior to production

  • Balance prior to shipment

Payments are processed via secure international banking channels.

All foreign exchange risks are borne by the buyer.

7. Quality Control

We coordinate pre‑shipment inspections and provide available documentation.

Buyers may appoint independent inspection agencies at their own expense.

Any quality disputes must be raised within 7 days of delivery and supported by documented evidence.

8. Shipping and Logistics

We coordinate international freight through established logistics partners.

Delivery timelines are estimates and subject to:

  • Customs procedures

  • Carrier schedules

  • Weather conditions

  • Force majeure events

Transfer of title and risk shall be governed by the agreed Incoterms for each transaction.

9. Limitation of Liability

As a sourcing intermediary, Zion Sourcing Ltd’s liability is strictly limited to the service fees paid for the relevant transaction.

We shall not be liable for:

  • Supplier default

  • Shipping delays

  • Customs issues

  • Force majeure events

  • Indirect or consequential losses

10. Confidentiality

All commercial and business information shared during sourcing activities shall be treated as confidential.

We do not disclose supplier identities or client information to competitors or third parties without consent, unless legally required.

11. Governing Law

These Terms are governed by the laws of England and Wales.

Any disputes shall first be resolved through good faith negotiation. Where unresolved, disputes may be referred to arbitration or the courts of England and Wales.
